Terms of Service

These Terms of Service ("Terms") govern your use of the services provided by David Ospina ("I", "me", "my", or "Service Provider"), including web development and AI agent services. By engaging my services, you agree to these Terms. If you do not agree, please do not use my services.

1. Service Description

I provide web development services, including website design, development, and maintenance, as well as AI agent services such as automation systems, intelligent workflows, and AI-powered solutions. Services are delivered on a freelance basis and may include consulting, development, and ongoing support.

2. Acceptance of Terms

By requesting or receiving my services, you acknowledge that you have read, understood, and agree to be bound by these Terms. These Terms constitute a legally binding agreement between you and me.

3. Intellectual Property

Unless otherwise agreed in writing, all work product, code, designs, and materials created during the provision of services remain my intellectual property until full payment is received. Upon full payment, you will receive a license to use the deliverables as specified in our agreement. You retain ownership of any pre-existing materials, content, or intellectual property you provide. Third-party tools, libraries, or assets used in the project may be subject to their own licenses.

4. Service Limitations

My services are provided "as is" without warranties of any kind, express or implied. I do not guarantee that services will meet your specific requirements or be error-free. Liability is limited to the amount paid for services in the preceding 12 months. I am not liable for indirect, incidental, or consequential damages arising from the use of my services or any deliverables.

5. Payment Terms

Payment terms are outlined in our project agreement. Typically, I require a deposit before work begins, with milestone payments throughout the project. Full payment is due upon project completion unless otherwise specified. Late payments may incur interest at 1.5% per month. All fees are quoted in Euros unless otherwise agreed.

6. Termination

Either party may terminate services with written notice. Upon termination, you are responsible for payment of all services rendered up to the termination date. Any work in progress may be delivered at my discretion. In case of breach by either party, the non-breaching party may terminate immediately.

7. Governing Law

These Terms are governed by the laws of Spain, with Barcelona as the jurisdiction for any disputes. For international clients, applicable international law principles may apply where relevant.

8. Dispute Resolution

Any disputes arising from these Terms will first be attempted to be resolved through good faith negotiation. If unsuccessful, disputes will be submitted to mediation in Barcelona, Spain, before pursuing legal action.

9. Changes to Terms

I reserve the right to update these Terms at any time. Changes will be effective immediately upon posting on this page. Continued use of my services after changes constitutes acceptance of the new Terms.
